A business owner asked me a question I hear surprisingly often:

“Who would want to buy my business?”

It wasn’t a lack of confidence. Like many business owners, he had never truly examined how the business he spent decades building might be evaluated by a potential buyer.

His question reveals one of the biggest misconceptions I see in the middle market.

After speaking with hundreds of founders and advisors, one factor remains constant: The businesses commanding the highest valuations are not always the biggest or fastest-growing. They are the ones that clearly understand what creates value, where future growth lies, and how to position themselves for buyers.

 

In today’s M&A market, acquisition activity extends well beyond founder-owned businesses. Large corporations and private equity firms are continually optimizing their portfolios, divesting non-core assets and acquiring businesses that better align with their long-term strategies.

Buyers don’t pay a premium for perfect businesses. They pay a premium for prepared businesses.

  • Financial reporting is organized and transparent.
  • Growth opportunities are supported by data.
  • Potential risks have been identified and addressed wherever possible.
